National Endowment for Financial Education License Agreement
for NEFE Financial Education Evaluation Toolkit ®

Use of the NEFE Financial Education Evaluation Toolkit is subject to the following License Agreement. Please read the agreement and click the applicable response button at the end. By clicking "I Agree", you are entering into a contract and agreeing to be bound by all of the terms and conditions of this License Agreement. If you do not agree, click "I Do Not Agree" to exit.

License Agreement
The NEFE Financial Education Evaluation Toolkit (the "Toolkit") is provided by the National Endowment for Financial Education (NEFE) for non-profit, non-commercial educational purposes only. As long as you comply with the terms and conditions of this License Agreement, NEFE grants to you a non-exclusive, revocable license to use, copy, distribute, and create derivative works based on the Toolkit for non-profit, non-commercial educational purposes.

Non-Profit Non-Commercial Uses Only
Use of the Toolkit is strictly limited to use for non-profit, non-commercial educational purposes only. Commercial use or copying of the Toolkit, or of any derivative work based on or generated by the Toolkit, is not permitted under this License Agreement. Prohibited commercial uses include, but are not limited to:

  • the sale or offering for sale of the Toolkit or any portion thereof or any derivative work based thereon, and
  • the use or copying of the Toolkit in connection with conducting or promoting a for-profit business, or for funds-generating purposes by any person or organization.

Copies and derivative works
Subject to the other provisions of this License Agreement, you may:

  • make copies of the Toolkit in its entirety or of selected portions of the Toolkit;
  • make derivative works based on the Toolkit by editing, revising, or adding to the Toolkit or portions thereof; and
  • distribute copies of the Toolkit, selected portions of the Toolkit, and derivative works based on the Toolkit

When making a revision or derivative work, you may not add any content or revisions that could be construed as making recommendations regarding any financial instrument or investment opportunity.

Required Notice
You must include in all copies of the Toolkit, portions of the Toolkit, or derivative works based on the toolkit the following notice and disclaimer:

The National Endowment for Financial Education (NEFE) owns all right, title, interest to the NEFE Financial Education Evaluation Toolkit. This work is based on the Toolkit. The use of this work is subject to the following terms. This work may be used only as expressly permitted by the following terms and may not be used in any way expressly prohibited by the following terms:

  • This work may only be used for instructional and educational purposes.
  • This work may be used only in the form provided and may not be modified, amended or combined with other material to form a new work.
  • This work may not be used for any commercial purpose, or to sell, advertise, endorse, or otherwise promote any other service, product, or party.
  • This work may not be used to provide financial or investment advice.

NEFE neither endorses nor is responsible for the accuracy or reliability of the Toolkit or this work, and shall have no liability for investments or other decisions based on the Toolkit or this work. This work is provided "AS IS" without any representations or warranties of any kind from NEFE. NEFE disclaims all warranties, whether express, implied, or statutory, regarding the Toolkit or this work.

Intellectual Property
The Toolkit is the intellectual property of NEFE and its suppliers. Except as expressly stated herein, this License Agreement does not grant you any intellectual property rights in the Toolkit and all rights not expressly granted are reserved to NEFE and its suppliers. NEFE retains copyright in the original Toolkit and in all portions of the Toolkit that are incorporated or included in any modifications or derivative works based upon the Toolkit.

Revocation of License
NEFE may, by notice to you, terminate and revoke any or all of the rights granted to you under this License Agreement for any reason. In addition, your rights under this License Agreement shall immediately terminate if you breach any provision of this License Agreement. NEFE expressly reserves the right to pursue legal action against any you if you breach any term of this License Agreement.

Ethical Obligations
All use, distribution, copying, modification, or revision of the Toolkit or derivative works based thereon shall be in compliance with all applicable ethical and legal obligations, standards of practice, and rules of professional conduct governing the actions and conduct of the user.

Disclaimer

NEFE neither endorses nor is responsible for the accuracy or reliability of the toolkit or any work derived from the toolkit, and NEFE shall have no liability for investments or other decisions based on the toolkit or any work derived from the toolkit. THE TOOLKIT IS PROVIDED "AS IS" WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND AND NEFE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE TOOLKIT, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. In particular, NEFE shall not be liable for any: (1) errors, inaccuracies, omissions, or other defects in, or lack of timeliness or authenticity of, the toolkit or any work derived from the toolkit, or for any claims or losses arising there from or occasioned thereby; (2) third-party claims, losses or liabilities of any nature in connection with the toolkit or any work derived from the toolkit, including, but not limited to any direct, indirect, special, consequential, punitive or other damages, or any lost profits or revenue.

It is your responsibility to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through the toolkit or any work derived from the toolkit. Please seek the advice of professionals, as appropriate, regarding the evaluation of any such specific information, opinion, advice or other content.

Limitation of liability
In no event will NEFE be liable to you or any other person for any direct, indirect, consequential, incidental, or special damages of any kind (including lost profits) regardless of the form of the action whether in contract, tort (including negligence), strict product liability or otherwise, even if NEFE has been advised of the possibility of such damages. Some states or jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so these limitations may not apply to you.

Indemnity
You agree to indemnify and hold harmless NEFE and its affiliates, officers, directors, agents and employees against any and all liabilities, losses, actions, damages, or claims (including legal fees and expenses) arising out of or relating to the Toolkit, any work based on, derived from, or incorporating any portion of the Toolkit, or any copying, modification, distribution, use of, or reliance on the Toolkit or any work based on, derived from, or incorporating any portion of the Toolkit.

Severability
Any clause of this License Agreement declared invalid shall be deemed severable and shall not affect the validity or enforceability of the remainder.

Governing Law
Interpretation and enforcement of this License Agreement are governed by the laws of the State of Colorado, excluding the application of its conflicts of law rules.

Modifications of Terms of Use and License Agreement
NEFE reserves the right, at any time and without notice, to add to, change, update, or modify this License Agreement, simply by posting such change, update, or modification online at this Web site. Any such addition, change, update, or modification will be effective immediately upon posting.
